OPERATIONAL STRUCTURE & TEAM
The BackendOperators (consultant) functions as a professional agency/company. To ensure the highest quality of service, the founders (Rio & Jay) will remain "hands-on" during the initial build phases to provide custom, personalized infrastructure. Following the build phase, tasks may be delegated to highly trained team members to maintain operational continuity. The Founders will continue to supervise all operations and participate in strategy calls to ensure alignment with the Client's vision. Any necessary certifications for team members managing the account will be covered by the BackendOperators (consultant).

OWNERSHIP OF INTELLECTUAL PROPERTY
Ownership: At the conclusion of the partnership or upon creation, the Client retains 100% ownership of all assets, systems, snapshots, and content created during the partnership. The Client shall maintain full access and administrative control over all accounts and platforms at all times.

PERFORMANCE PARTNERSHIP (COMMISSION)
In lieu of upfront setup fees for new infrastructures (Container 2, etc.), the BackendOperators will manage the build, system maintenance, and customer support in exchange for a 20% commission on the monthly profit generated through the GoHighLevel (GHL) snapshots and products built within the platform.

FINANCIAL TERMS
Monthly Base Fee$4,000 USD
Month 1 Payment50% advance ($2,000) due upon signing; 50% ($2,000) due upon delivery of Month 1 milestones.
Month 2+ PaymentPayable monthly ($4,000) or bi-monthly ($2,000 each) on the 15th and 30th of the service month.
PlatformsClient covers costs for all platform subscriptions (GHL, CRM, etc.). Consultant will optimize to avoid unnecessary costs.

HIPAA COMPLIANCE
Founders (Rio and Jay) will personally undergo HIPAA Certification to cover both the technical and content-side infrastructure. If the Client requires a specific platform for compliance that exceeds standard budgetary norms, the Client may be responsible for those specific platform expenses.
